It's sound structurally, rust is only superficial and not much really. Surely if it needs a respray would be up to you? - it'll work fine as it is, depends what you want, if you want it to look new then yes, it'll need a respray
I reckon it's a good enough frame to do so Let me know if you'd like more pics etc.
